A Well Established Midlands Based Graphic Design, Graphic and Litho Print Firm (“the Company”)

FOR SALE AS A GOING CONCERN

An opportunity has arisen to acquire a business, established over 30 years ago, which provides a fully integrated service including graphic design, digital print, lithographic print, print finishing and direct mail.

The Company employs 17 staff members, operates from a 11,000 sq. ft. warehouse in Derbyshire and has won several local business awards.
The Company has a diverse client base from the NHS to Universities, throughout the UK and specialises in providing bespoke print products including printed marketing and promotional literature, folders, stationery and mailings, whilst also working with local companies to offer the total print package including, signage, POS and merchandise.

To enable the Company to provide this service, its fixed assets, include a Mitsubishi Diamond 1000 B2 press, a Heidelberg Speedmaster 52 B3 press, a Xerox Colour J75 press, and direct mail equipment.

The Company’s last set of draft unaudited accounts reports a turnover of c.£1.29m for the year ended 31 December 2019, with a gross profit of c.£716k and a net profit of c.£46k. Whilst the Company has been affected by reduced sales due to Covid-19, in the first 6 months of 2020 it has recorded a turnover of c.£340k, gross profit of c.£189k and a net profit of c.£1.5k.

The owners are looking to conduct a sale of the shares and / or its business and assets (including goodwill) and it is proposed that any sale will need to be agreed and moved to completion as a matter of urgency, and as such, this opportunity is only likely to be available for a short period of time.

Following receipt of expressions of interest, and a signed Non-Disclosure Agreement, brief sales particulars will be provided via a data room. Offers for the purchase of the business and/or its assets as a going concern, by way of sealed bids, needs to be sent to Smith Cooper by 12 noon on Friday 31 July 2020, together with evidence of funding/funding in principle, in writing, from a lender and contact details of proposed solicitors.
